today I happened to notice that yifan.com is a nasdaq listed
company !!!!!!!!
been an freshmen to this field, I was SHOCKED ,
the company's 10QSB is here:

at this size, I can't believe how it got listed ? doesn't
it need some invest bank to back up?
notice its total stockholder's equity is less than 2 M (
I doubt it might be even less), I really can't believe its a
"public" company, cause in my mind its a big thing :

being a public company or not has nothing to do with
being big or small, or having an investment bank
to back you up (no investment bank backs up anyone
for that matter).
In essence, you can have very small public companies (anyone
on the pink sheet would qualify), or you can have very big
private companies (Fortune publishes such a list annually).
yifan happens to be an OTC stock, a very iliquid one.

but isn't there is a large fee for been listed ?
what is a OTC ? and what is a "Very iliquid" one?
I'm just wondering why they make them listed ? is it worth
the trouble and the money (such as legal fees ... )

well, depending on how large you think "lage" is. For a
listing through reverse merger, you can get it done with
less than $50K in fees. Other than that, it is primarily
ACC/SEC and audits.
More liquidity so that if you want to sell, it is easier than
through a private transaction.

well, depending on how large you think "lage" is. For a
so all needed is just money to be get listed ?
I still don't get it, see if their stock keep down, and at
last its worth couple cents, how they sell it? and how much
they can sell it? My old impression is whenever you get
listed you will get a sum of money (which is usually far
more than the par value of the common stock)
on the other hand, when they list their coompany who will
buy their common stock at first?
and why all those common st

A few days ago I happened to notice Yifan (YFAN.BB) listed.
I read the profiles on yahoo.finance and followed some links.
It looks like Yifan purchased a dormant but not completely
dead company SmartGames which is still publicly traded
in the OTC market. My guess is that they used
that approach to make themselves public traded with going
the normal IPO route which has a lot more accounting requirement
and is more difficult.
