最近接到一个小的start up公司的offer(生物制药行业），合同中有几样东西很trick,
想问一下大家的意见
1. 第一个是关于non-compete clause
这个条款要求在离职（不论什么原因）后，两年内不得为competitor工作（原文摘
抄：for two years immediately following the termination of employment for
any reason, you agree not to, directly or indirectly, without the prior
written consent of the Company, own, join, control, blah, blah, or be
connected as an executive, partner, EMPLOYEE, blah blah, with any business
or enterprise engaged in any business which is competitive directly with the
Company's business, ....）. 这样的条款是否对以后的发展很不利（合同要求使用
Delaware的法律）？
2. 第二个是关于stock option
允许朋友以2009的价格（原文摘抄：xx shares of the company's common stock
at fair market price as dtermined by the compny's 2009 external valuation)
购买若干stock，四年的vesting(具体schedule还没见到)。这个公司并没有上市，那么
是不是无法判断一个这个strike price和market price的差价，那么也就无法决定要不
要exercise这样的option？那这个option是不是就变成空的了？
恳请有过类似经历的朋友指点一下！
