公司最近因为新一轮融资，需要把小部分业务split，然后主营业务组成一个新的公司
。在这个变化之中，我的职位，Job description, 地点及上下级关系都不变。
公司的律师已经建议，将我的所有immigration相关的东西，都以Libility的形式转到
新的公司，期间也不会存在任何空档。公司律师没有提什么H1B amendment. 但是我记
得,版上有说要提交amendment申请的，是不是？
另外，我的PERM是三月初提交的，目前还没有任何消息。律师说，原来的PERM仍然有效
。如果PERM批准了，我们在提交140的时候需要证明新公司继承了所有老公司的
immigration 事宜。如果audit,我们就需要立即提交公司重组的相关事宜及证明。
有类似经验的大侠吗？我总觉得律师少了点什么。我如果拿着原来的H1B表格（签证
有效期至明年五月），还能自由地进出关吗？
另外，各位有没有推荐的移民律师，我想付费进行一下移民咨询。

公司曾经从llc变成lp，全部是公司找的移民律师处理的，一般HR会告知你们，自己身
边不需要拿到任何东西，你应该找公司出面找移民律师办

我的经历是， H1B不用amend。3年到期后直接续。
PERM 也不需要重新打。你的律师说的正确。

关键取决于Employee ID和Tax ID
如果变了就必须amend，否则你和你公司都有麻烦
如果没变，那就看你的职位，Job title, 地点等有没有变了
都没有，就没事了

公司从llc变成corp. 总共只有30人，我是唯一的外国人。移民律师的经验感觉不是很
丰富，打PERM的时候一直犹豫来犹豫去。所以，我想还是谨慎为好，想找律师和有这方
面经验的人问问

税号肯定改了，员工号没变。
职位,title,.地点都没变。
移民局网站好像没写税号的问题啊?

现在的很多志愿者不都这样？送些二手书，书包啥的，你送就送贝，非得搞个捐赠仪式
，每个人穿个什么"献爱心"的统一马甲，我看那仪式上用的条幅和这些衣服的钱比那些
书和书包贵多了

这个网站说了，PERM可以不受影响，如果PERM批准，要在提交I140的时候提供支持性文
件。如果PERM Audit, 需要马上提供公司改动的支持性文件。这些都是和我公司律师
提的一样。
关于H1B amendment 他具体没有提有关Tax ID的改动，只提了location和job duty. 但
是在以下的文章里面，又提出改了tax ID就需要提交amendment.http://www.immigralaw.com/english/h1bdev.html
不过，另外一个网站的回复是no amendment. 下面是那个公司律师的陈述：
“20 CFR 665.730(1)(7)(i)(c)(1) states ”Change in employer’s corporate
structure or identity. (1) Where an employer corporation changes its
corporate structure as the result of an acquisition, merger, spin-off, or
other such action, the new employing entity is not required to file new LCAs
and H-1B petitions with respect to the H-1B nonimmigrants transferred to
the employ of the new entity (regardless of whether there is a change in the
Federal Employer Identification Number (FEIN)), provided that the new
employing entity maintains in its records a list of the H-1B nonimmigrants
transferred to the employ of the new employing entity, and maintains in the
public access file(s) (see 655.760) a document containing all of the
following: (i)Each affected LCA number and its date of certification:)"
不过怎样，我先把Tax ID的这个事情跟公司律师重申一下，让他再去double check吧。

张哲瑞律师事务所的解释是：
For H-1B employees in restructuring companies, the most important issue to
consider is whether the new firm is legally a "successor-in-interest" to the
original H-1B sponsoring company. If the new firm is a "successor-in-
interest", then there is no need to file an amended H-1B for each H-1B
employee. However, if the new firm is not considered a successor-in-interest

我们公司的确是把我immigration 相关的事宜以obligations and liabilities 形式，
在重组过程中的exhibit中签署的。也就是说，新公司succeed in interest和同意
transfer相关的义务。你的case是以这样的形式转的吗？公司有签署immigration
liabilities的相关的文件吗？

你公司律师是对的，像你所说的例子，不用改H1B和PERM。以后延期H1B的时候，公司律
师只要提供相应的公司变化的说明就可以了。
