Seller may desire to acquire a property similar to the subject property in
accordance with Section 1031 of the Internal Revenue Code of 1986, as
amended (the "Code"). At the request of Seller, Purchaser shall assist
Seller in causing such property to be considered a replacement property
pursuant to Section 1031 of the Code.
Seller may assign its interest in this Agreement to effectuate a tax free
exchange. In such event, the Seller shall promptly so notify Purchaser. No
such assignment shall affect In any way the obligations of Seller under thiS
Agreement.
Purchaser shall not be required to Incur any liabilities In connection With
such exchange, nor shall Purchaser be required to take title to any other
property In connection with such exchange.
Seller shall pay any additional transfer taxes, recording fees and similar
closing costs incurred by Purchaser or Seller resulting from such tax free
exchange.
