Rovi Corporation said today it has agreed to acquire Sonic Solutions in a
cash and stock deal with an enterprise value of about $720 million. Both
companies provide technology for the digital video and entertainment sector.
The deal values Sonic at $14.17 per share, a 38% premium over its 30-day
average closing price as of Tuesday. Rovi, which provides next-generation
guidance solutions including TotalGuide, discovery, metadata advertising and
networking technologies, said Sonics digital video processing, playback and
distribution technologies will create integration across the digital
entertainment ecosystem when the companies are merged. Sonic shareholders
will receive either $14 in cash or 0.2489 shares of Rovi common stock per
share of Sonic owned, whichever they chose.
