要license。要考试。而且你朋友都得是高收入。低收入不可以拿钱给别人管。犯法。
如果你朋友的account让你进去炒，那倒可以。不过别人可能知道你的方法，而且可能
不给你你们说好的费用

另外如果先不开公司，是否可以考虑在朋友账户中直接操作，风险共担，利润共享，但
具体细则也没有弄清怎么操作

Of course you may. You just need a lawyer experienced in fund formation to
navigate you through the web of US securities law and tax law.
You need to adhere to your state's blue sky law.
On the federal side, the threshold of being an investment advisor is quite
low. You don't need to show any special qualification.
As a general matter, you'd better incorporate yourself as an investment
advisor corporation so that you'll have limited personal liability if things
go south.
Your corporation and your investors will then form a limited partnership,
with you being the general partner and the investors being the limited
partner.
To be safe, you should not generally solicit business. Stick with friends
you alreadly know. Your investors should also have net asset (excluding
primary residence) over 1million dollars.
You should have a formal limited partnership agreement setting forth all the
terms, such as fee arrangement, redemption restrictions, etc.
Anyway, it's doable. But you'll need a lawyer to at least prepare the
formal legal documents.

innocent. 你只要稍微有点不符合法律要求，赚钱了没事儿，一旦亏钱，监狱的大门向
你敞开着。比如你要是敢用70岁老奶奶的钱卖光屁股的扑特，一旦亏钱，不管老奶奶事
