The big corporations incorporated in Delaware because the favorable law to the
management and fruitful precedants, which make the incoming cases more
predictable.
But for the small companies, if their primary business places are different
from their state of incorporation, they will be charged the income tax and the
incorporation tax(or fee) seperately. It may be a burden to small
companies.But for the big corporations, who cares??

for small companies no need to go to delaware. register
in your own state is enough. often you even don't have to
register.
as H1b, you can't work without authorization, thus can't
be employed by your own company...
for tax issues, there are different type of companies. they
are taxed differently. if your company is very small like
only yourself, you can choose those to file tax as part of
your income tax.
